Merchant Terms & Conditions

These Merchant Terms govern the relationship between ZamaSU (Pty) Ltd and any business or individual ("Merchant") accepted into the ZamaSU Merchant Network. By activating your Merchant account you confirm that you have read, understood, and agreed to these terms in full. These terms apply in addition to the ZamaSU General Terms & Conditions.

1. The ZamaSU Merchant Network

ZamaSU (Pty) Ltd, registered name K2026398003 (South Africa) (Pty) Ltd (CIPC registration number 2026/398003/07; SARS tax reference 9168614296) ("ZamaSU", "we", "us") operates a neighbourhood services marketplace and a linked voucher network. As a Merchant in the ZamaSU Merchant Network you may accept ZamaSU Vouchers ("Vouchers") as payment for goods or services at your business premises. ZamaSU provides you with a digital voucher scanning/redemption system and settles the value of redeemed Vouchers to you less applicable platform fees.

2. Merchant Registration & Eligibility

To register and remain active as a Merchant you must:

  • Be a lawfully operating business in the Republic of South Africa
  • Hold all licences, permits, and regulatory approvals required for your business category
  • Provide complete and accurate business information, including a valid South African business address
  • Provide a valid South African bank account held in your business or personal name for settlement purposes
  • Accept a ZamaSU on-site verification visit if requested
  • Not be listed on any financial crime, fraud, or prohibited merchant registry

ZamaSU reserves the right to reject or revoke any Merchant application at its sole discretion, without obligation to provide reasons.

3. Voucher Acceptance Rules

As a ZamaSU Merchant you agree to:

  • Accept all valid, unspent ZamaSU Vouchers presented at your business in good faith
  • Only redeem Vouchers through the official ZamaSU Merchant portal or API
  • Never demand additional cash payment for the Voucher face value (Vouchers may be supplemented if the purchase exceeds face value)
  • Never purchase, redeem, or assist in redeeming Vouchers outside of a genuine commercial transaction at your premises
  • Never split or partially redeem a Voucher in a manner designed to extract cash rather than goods/services
  • Display ZamaSU Merchant branding at your point of sale as directed by ZamaSU
  • Honour any voucher that passes real-time verification through the ZamaSU system

Suspected fraudulent or invalid Vouchers must be reported immediately to disputes@zamasu.co.za before redeeming.

4. Fee Structure

ZamaSU charges Merchants a platform fee on each Voucher redeemed through your account. The current fee structure is:

  • Redemption Platform Fee: A percentage of the Voucher face value, deducted before settlement. The current rate is displayed in your Merchant Portal and is confirmed at the time of registration.
  • No monthly subscription fee applies for standard Merchant accounts.
  • Chargeback / Fraud Recovery Fee: In cases where a Voucher is reversed due to fraud not attributable to ZamaSU, ZamaSU reserves the right to recover the settled amount from future settlements or by invoice.
Example (illustrative only): If the applicable redemption fee is 5% and a customer presents a Voucher with a face value of R200, ZamaSU settles R190 to you after deducting a R10 fee. Exact fee rates are confirmed in your Merchant Portal.

5. Fee Changes — 30-Day Notice

ZamaSU undertakes to provide Merchants with at least 30 (thirty) calendar days' written notice of any change to the Redemption Platform Fee or the introduction of new Merchant-specific fees.

Notice of fee changes will be delivered by email to the registered email address on your Merchant account, and/or by a prominent notice in your Merchant Portal. It is your responsibility to ensure that your registered email address remains current.

If you do not accept the revised fee structure, you must notify us in writing at merchants@zamasu.co.za before the effective date. Continued use of your Merchant account after the effective date of a fee change constitutes your acceptance of the new fee schedule.

Emergency fee adjustments required by law, regulatory mandate, or payment processor requirements may take effect immediately, but ZamaSU will notify you as soon as practicable.

6. Settlement Process

Redeemed Vouchers are settled to your registered bank account as follows:

  • ZamaSU processes settlement runs on a regular basis (current schedule confirmed in your Merchant Portal)
  • Settlements are net of all applicable platform fees
  • A settlement statement is provided in your Merchant Portal listing each Voucher included in the settlement, the face value, fee deducted, and net amount paid
  • Settlement may be delayed if your account is under fraud investigation, if there is an unresolved dispute relating to a Voucher, or if your bank details have changed pending re-verification
  • ZamaSU will notify you of any settlement delay and the expected resolution timeline
  • ZamaSU reserves the right to hold settlement if we reasonably suspect fraudulent activity or abuse of the Merchant Network

7. Dispute Resolution

All Merchant disputes are handled under the ZamaSU dispute process and are subject to the ZamaSU General Terms & Conditions (Section 8). The additional steps below apply specifically to Merchant voucher disputes.

7.1 Customer Voucher Disputes

If a customer disputes a transaction at your premises — for example, claiming a Voucher was redeemed without their authorisation — ZamaSU will investigate in accordance with our standard dispute process. You will be notified within 2 business days of a dispute being raised against one of your Voucher redemptions.

7.2 Merchant-Initiated Disputes

If you believe a settlement is incorrect, a fee was incorrectly applied, or a Voucher was fraudulently presented to your business:

Raise the Dispute

Submit a written dispute within 14 calendar days of the settlement date or incident to disputes@zamasu.co.za. Reference your Merchant account number and the specific Voucher code(s) or settlement batch ID.

Acknowledgement

ZamaSU will acknowledge your dispute within 2 business days and advise if additional documentation is required.

Investigation

ZamaSU reviews transaction records, system logs, and any supporting evidence provided by both parties. The investigation target is 10 business days from acknowledgement.

Outcome

ZamaSU issues a written outcome. Where a settlement error is confirmed in your favour, ZamaSU will credit the difference in the next settlement run. Where fraud by a third party is confirmed, ZamaSU will advise on available recourse.

Appeal

If you are not satisfied with the outcome, you may appeal within 5 business days by providing additional evidence. ZamaSU's decision on appeal is final. Nothing in this process limits your right to seek legal remedies in South African courts.

7.3 ZamaSU's Right to Reverse Settlements

ZamaSU reserves the right to reverse or claw back a settled amount if:

  • A Voucher is determined to have been redeemed fraudulently
  • A Voucher was redeemed in violation of these Merchant Terms
  • The underlying Voucher was issued or funded fraudulently
  • A chargeback is received from a payment processor relating to the Voucher's original funding

8. Merchant Obligations

As a ZamaSU Merchant you are responsible for:

  • Ensuring your staff are trained on how to correctly use the ZamaSU redemption system
  • Keeping your Merchant account credentials, API keys, and portal access strictly confidential
  • Reporting any suspected compromise of your account or API key to support@zamasu.co.za immediately
  • Maintaining accurate and up-to-date business information in your Merchant account
  • Providing correct banking details for settlement and notifying ZamaSU promptly of any changes
  • Complying with all applicable South African tax laws, including correctly accounting for Voucher income
  • Not allowing any third party to use your Merchant account or API credentials
  • Cooperating fully with any ZamaSU fraud investigation

9. ZamaSU's Obligations

ZamaSU undertakes to:

  • Maintain the Merchant portal and redemption systems with reasonable uptime
  • Process settlements in accordance with the published settlement schedule
  • Provide 30 days' notice of fee changes (see Section 5)
  • Maintain records of all Voucher redemptions for a minimum of 5 years
  • Respond to Merchant support enquiries within 3 business days
  • Treat all Merchant account information and settlement data with strict confidentiality
  • Notify Merchants promptly of any system downtime or delays affecting settlements

10. Termination of Merchant Account

10.1 Termination by Merchant

You may close your Merchant account at any time by written notice to merchants@zamasu.co.za. Any outstanding settlements due to you will be processed within the next regular settlement run after account closure, subject to no outstanding disputes or investigations.

10.2 Termination or Suspension by ZamaSU

ZamaSU may suspend or permanently close a Merchant account immediately and without prior notice in cases of:

  • Fraud, deception, or abuse of the Voucher system
  • Breach of these Merchant Terms
  • Violation of applicable South African law
  • Failure to maintain the required licences or business registration
  • Repeated or unresolved chargebacks
  • Any activity that poses a risk to ZamaSU customers, the platform, or the public

In all other cases (including non-compliance with these Terms not involving fraud), ZamaSU will provide 7 days' written notice before suspending or terminating a Merchant account, during which time the Merchant may remedy the breach.

Termination does not release either party from obligations that arose prior to termination, including pending disputes and settlement of amounts owed.

11. Confidentiality & Data

Both ZamaSU and the Merchant agree to keep all commercially sensitive information shared between them confidential. This includes Voucher redemption volumes, settlement amounts, fee rates, and API credentials. Neither party will disclose this information to third parties without prior written consent, except as required by law.

ZamaSU will process your personal and business data as described in the ZamaSU Privacy Policy. By using the Merchant Network you consent to this processing.

12. Limitation of Liability

ZamaSU is not liable to Merchants for:

  • Loss of revenue arising from platform downtime or system outages beyond our reasonable control
  • Losses caused by third-party fraud not attributable to ZamaSU's negligence
  • Indirect, consequential, or special damages of any nature
  • Actions of customers, ZamaSU voucher holders, or other third parties

ZamaSU's total aggregate liability to a Merchant shall not exceed the total net settlement paid to that Merchant in the 90 days preceding the claim.

13. Governing Law

These Merchant Terms are governed by the laws of the Republic of South Africa. Any dispute not resolved through the internal process described in Section 7 shall be subject to the jurisdiction of the South African courts.

14. Changes to These Merchant Terms

ZamaSU may update these Merchant Terms from time to time. For material changes — including fee changes — we will provide at least 30 days' written notice as described in Section 5. For non-material clarifications, updated terms will be posted in the Merchant Portal and take effect immediately.
